1. CUSTOMER TYPE

Main Electric Supply Company LLC (“Main Electric”) sells primarily to business customers. Any sales to individuals are governed by these same terms unless otherwise required by law.

2. PRICING & ORDERS

  • Prices exclude freight, handling, wire cuts, taxes, duties, and other applicable charges.
  • Commodity pricing is market-based and subject to change without notice.
  • Export orders and sourced products may be subject to special pricing.
  • Main Electric reserves the right to accept, reject, or cancel any order at its discretion, including orders affected by pricing or publication errors.

3. TAXES

Customers are responsible for all applicable taxes unless a valid exemption certificate is provided prior to purchase and clearly identifies exempt items.

4. PAYMENT & CREDIT TERMS

  • Accepted payment methods may include cash, checks, money orders, and other approved methods. Fees may apply depending on payment type.
  • Checks are not accepted at will-call counters.
  • Credit terms are net 30 days (if approved by credit) from shipment or pickup unless otherwise stated.
  • Main Electric may reduce, suspend, or revoke credit at any time.
  • Customers must provide updated financial information upon request.
  • Late payments are subject to a service charge of 1.5% per month.
  • Failure to comply with payment terms allows Main Electric to:
    • Suspend shipments
    • Require cash in advance
    • Accelerate all outstanding balances
    • Cancel unshipped orders
    • Pursue collection actions
  • Customer is responsible for all purchases made by affiliates.

5. SECURITY INTEREST

Customer grants Main Electric a first-priority security interest in all goods sold until paid in full and authorizes filing of financing statements.

6. FREIGHT, DELIVERY & RISK OF LOSS

  • All goods are sold F.O.B. point of shipment unless otherwise agreed.
  • Risk of loss transfers to the customer upon delivery to the carrier.
  • Customers must inspect shipments immediately upon delivery.
  • Claims for shortage or damage must be reported within 3 calendar days of delivery.
  • Freight charges must be paid in full regardless of pending claims.
  • Refusal of shipment does not relieve payment obligation.
  • Damaged goods must be retained with original packaging for inspection.
  • Main Electric may replace or credit damaged goods at its sole discretion.

7. RETURNS & CANCELLATIONS (CORE SECTION)

7.1 Stock Product Returns

Stock product returns may be accepted only with prior written approval and only if all of the following conditions are met:

  • Returned within 30 days of delivery
  • Stock items only
  • Unused, undamaged, and in resalable condition
  • In original, unopened packaging
  • Accompanied by valid proof of purchase

All approved returns are subject to a minimum restocking fee of twenty-five percent (25%), plus any applicable handling, freight, or processing charges. Restocking fees may be higher based on product type, manufacturer requirements, condition of the material, market conditions, or time held in inventory. Restocking fees are deducted from any credit issued.

Main Electric reserves the right to refuse any return for any reason, including but not limited to failure to meet the above conditions.

Returns may be denied or subject to restocking fees, handling fees, and freight charges.

7.2 Non-Returnable Items

The following are FINAL SALE:

  • Custom products
  • Non-stock or special-order items
  • Sourced products without written return authorization

No cancellations, returns, refunds, or credits are permitted for these items.

7.3 Return Authorization

All returns require prior approval. Main Electric may refuse return authorization for any reason.

8. WARRANTIES & LIMITATION OF LIABILITY

8.1 Product Warranties

Main Electric does not provide product warranties.
All products are subject solely to the manufacturer’s warranty.

Main Electric may assist with manufacturer warranty claims but assumes no responsibility for warranty outcomes.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MAIN ELECTRIC DISCLAIMS ALL INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
  • LIABILITY IS STRICTLY LIMITED TO THE PURCHASE PRICE OF THE PRODUCT OR SERVICE AT ISSUE.

9. PRODUCT INFORMATION & COMPLIANCE

  • Product descriptions and images are for reference only.
  • Substitutions may occur without notice.
  • Cross-references are not guaranteed as equivalents.
  • Customers are responsible for code compliance, installation suitability, and regulatory adherence.

10. CANCELLATION OF SERVICES

Either party may terminate services with 30 days’ written notice.
Customer is responsible for costs incurred to date and applicable termination charges.

11. EXPORT SALES

Export orders are governed by applicable U.S. export laws and INCOTERMS.
Customer assumes responsibility for duties, licenses, compliance, and destination restrictions.

12. GENERAL LEGAL TERMS

  • Independent contractor relationship
  • No assignment without consent
  • Force majeure protection
  • No third-party beneficiaries
  • Severability
  • Governing law: California
  • These terms supersede all prior agreements and customer purchase order terms

13. PRIVACY

Customer data is handled pursuant to Main Electric’s Privacy Policy, available here.

14. Tariffs / Duties / Government Charges

Customer is solely responsible for all tariffs, duties, import/export fees, customs charges, surcharges, and other governmental assessments imposed now or in the future on the products sold. Any such charges may be billed to the customer in addition to the quoted price (including after order acceptance) if assessed or increased by a government authority, manufacturer, or carrier. Main Electric is not responsible for and does not absorb tariff-related costs, delays, or penalties.
